Welcome to Kandarasi. These Terms of Service ("Terms") govern your access to and use of our platform that connects artists with brands for collaboration opportunities. By accessing or using Kandarasi, you agree to be bound by these Terms.

Acceptance of Terms

By creating an account, accessing, or using Kandarasi, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our platform.

You must be at least 18 years old to use Kandarasi. By using the platform, you represent and warrant that you meet this age requirement.

Account Registration

Account Creation

You must provide accurate, current, and complete information during registration
You are responsible for maintaining the confidentiality of your account credentials
You must notify us immediately of any unauthorized access to your account
You are responsible for all activities that occur under your account

Account Types

Kandarasi supports multiple account types including Artists, Brands, Agents, and Administrators. Each account type has specific features and responsibilities as outlined in these Terms.

User Conduct

You agree not to:

Violate any applicable laws, regulations, or third-party rights
Post false, misleading, or fraudulent information
Harass, threaten, or harm other users
Impersonate any person or entity
Interfere with or disrupt the platform's operation
Attempt to gain unauthorized access to the platform or other accounts
Use automated systems to access the platform without permission
Transmit viruses, malware, or other harmful code
Engage in any activity that violates intellectual property rights
Collect or harvest user information without consent

Platform Services

Service Description

Kandarasi provides a platform for artists and brands to connect, negotiate collaborations, manage projects, and facilitate business relationships. We are not a party to agreements between users and do not guarantee the completion or quality of collaborations.

Service Availability

We strive to maintain platform availability but do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue any aspect of the platform at any time.

Intellectual Property

Platform Content

All content on Kandarasi, including text, graphics, logos, and software, is owned by Kandarasi or our licensors and is protected by copyright, trademark, and other intellectual property laws.

User Content

You retain ownership of content you post on Kandarasi. By posting content, you grant Kandarasi a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content on the platform. You represent that you have the right to grant this license.

Payments and Fees

Transaction Fees

Kandarasi may charge transaction fees for payments processed through the platform. All fees will be clearly disclosed before you complete a transaction.

Payment Processing

Payments are processed through secure third-party payment processors. You are responsible for providing accurate payment information and authorizing transactions.

Refunds

Refund policies are determined by the terms agreed upon between users in their collaboration agreements. Kandarasi may facilitate dispute resolution but is not responsible for refund decisions.

Proposals and Collaborations

Proposal Process

Brands can create proposals for collaborations with artists. Artists may accept, reject, or negotiate proposals. All terms should be clearly defined in proposals.

Collaboration Agreements

Collaborations are agreements between users. Kandarasi is not a party to these agreements and does not guarantee their performance. Users are responsible for negotiating terms and resolving disputes.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. KANDARASI DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee the accuracy, completeness, or reliability of user content or the performance of collaborations. You use the platform at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KANDARASI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Termination

We may suspend or terminate your account at any time for violation of these Terms or any reason with or without notice. You may terminate your account at any time through your account settings.

Upon termination, your right to use the platform will immediately cease. Provisions of these Terms that by their nature should survive termination will survive.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting updated Terms on this page and updating the "Last updated" date. Your continued use of the platform after changes constitutes acceptance of the updated Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.
